AFFILIATED TRANSACTIONS

In connection with the Lease Agreement between the Company and PT Kobin Keramik Industri (“KKIN”) which was signed on June 30, 2023, where based on the agreement, the Company agreed to lease the Company's vacant land to KKIN for a rental period of 5 (five) years, starting on August 1, 2023 and ending on July 31, 2028 with a rental price of Rp 20,000,000,000.- (Twenty Billion Rupiah).

The Lease Transaction is an affiliated transaction as stipulated in POJK 42/2020, because the Company and KKIN have the same major shareholder, namely, PT Tancorp Bangun Indonesia, there are similarities in the management of the Directors between the Company and KKIN, and there is a family relationship between members of the Company's Board of Commissioners and members of the KKIN Board of Commissioners and Directors.

The lease transactions carried out by the Company have done through the procedures as stipulated in Article 3 POJK 42/2020 and have been carried out in accordance with generally accepted business practices.

THE RESULT OF MANDATORY TENDER OFFER OF THE COMPANY'S SHARES

PT Tancorp Bangun Indonesia ("TBI") has completed the mandatory tender offer process in connection with the Company's takeover by purchasing 90,636,700 (ninety million six hundred thirty-six thousand seven hundred) common shares out of 300,000,219 (three hundred million two hundred and nineteen) shares offered.

TBI as the New Controller now owns 752,636,700 (seven hundred fifty-two million six hundred thirty-six thousand seven hundred) shares, or 62.55% (sixty-two-point fifty five percent) of the Company's issued and fully paid-up capital after completion of this mandatory tender offer.

CHANGES IN CONTROL IN THE COMPANY

Referring to the notification letter from PT Tancorp Bangun Indonesia ("TBI") to the Company and TBI's Announcement of the Takeover of a Public Company in the Investor Daily Newspaper on 20 October 2022, that on 19 October 2022 a Share Sale and Purchase Agreement was signed between PT Tancorp Bangun Indonesia (“TBI”) and PT Marissi Idola Sumber Sejahtera, Johan Silitonga and Luciana Sutanto (collectively as the “Sellers”) and the purchase and transfer of shares of the Company has been completed through a trading mechanism on the negotiating market at the PT Bursa Efek Indonesia as much as 662,000,000 (six hundred sixty two million) shares of the Company owned by the Sellers or 55.02% (fifty five point zero two percent) of the total paid-up and issued capital in the Company, resulting in a change of control in the Company.

ESTABLISHMENT OF THE SUBSIDIARIES OF THE COMPANY PT MEGA INSPIRASI SUMBER SEJAHTERA

Based on the Deed of Establishment of a Limited Liability Company PT MEGA INSPIRASI SUMBER SEJAHTERA Number 08, dated 13 October 2022 drawn up before Notary Reza Maulana, Bachelor of Law, Notary in Jakarta which has been approved by the Minister of Law and Human Rights of the Republic of Indonesia on 18 October 2022, the Company has established a new subsidiary, namely PT MEGA INSPIRASI SUMBER SEJAHTERA domiciled in Jakarta.

The Company owns 99% (ninety nine percent) or 224 (two hundred twenty-four) shares with a nominal value of Rp. 224,000,000 (two hundred and twenty-four million rupiah).
